1Who we are and when these terms apply
Forwarddd ("we", "us") builds websites and webshops, connects tools with automations, runs performance marketing and looks after websites through monthly subscriptions. You'll find our company details at the bottom of this page.
These terms apply to every proposal, agreement and piece of work between Forwarddd and you, the client. Your own general terms don't apply, unless we agree to that in writing.
If your proposal says something different from these terms, the proposal wins.
These terms are written for businesses. If you hire us as a consumer, the rights that consumer law gives you always stay intact.
We may transfer our agreements to a company that continues our services, for example if Forwarddd becomes a private limited company (BV). We'll tell you first.
2Proposals and agreements
Our proposals are valid for 30 days, unless the proposal says otherwise.
Our agreement is made when you sign the proposal online, confirm it in writing (an email is fine), or when we start work at your request.
Prices in a proposal are based on the information you gave us. If the work turns out bigger than expected, we tell you before doing anything extra.
Changes to what we agreed only count once we both confirm them in writing. Email counts as writing.
3How we work
We do our work carefully and to the best of our ability, with the knowledge and tools available at the time. That's a promise of effort, not of a specific result, unless we explicitly agree on a result in writing.
We may bring in trusted freelancers or partners for parts of the work. We stay responsible for the work towards you.
Planned dates are our best estimate, not hard deadlines. If we're going to miss one, we let you know as early as we can. A later delivery alone doesn't give you the right to cancel or to compensation, unless you've given us a reasonable final deadline in writing and we still don't deliver.
4What we need from you
To do good work, we need a few things from you on time:
- the content, logins and information we ask for;
- feedback and approvals within a reasonable time;
- information that is correct and complete.
If something we need arrives late, the planning moves with it. Extra work caused by delays or incorrect information may be invoiced.
You're responsible for the content you give us, such as texts, photos, logos and product information. You confirm that you're allowed to use it and that it doesn't break the law or anyone else's rights. If someone holds us responsible because of that content, you cover the costs.
5Feedback and delivery
Your proposal says how many rounds of feedback are included (two, if it doesn't say). Changes beyond that are extra work.
When we deliver something, like a design or a finished website, you have 7 days to check it and let us know about any issues. If we don't hear from you within that time, or once the website goes live at your request, the delivery counts as approved.
Small issues that don't stop you from using the website don't hold up approval. We still fix them, of course.
6Subscriptions
With a subscription we look after your website every month. Your proposal lists exactly what's included, for example hosting, your domain name, security updates, backups, monitoring, small content changes and support.
A subscription runs for the minimum term in your proposal: usually 12 months for a website subscription and 3 months for a marketing package. After that it continues month to month, and you can cancel it at any time with one month's notice, in writing.
A subscription can't be ended during the minimum term, unless we agree otherwise. If you stop anyway, or we end it because invoices stay unpaid, the fees for the rest of the minimum term are due at once, minus costs we save.
Small content changes are quick updates, like texts, images and prices. New pages, new features and redesigns are extra work.
We may adjust our prices once a year, and we let you know at least one month in advance. During the minimum term we only adjust for inflation (the CBS consumer price index). For any other increase, you can cancel from the date the new price applies.
7Extra work
Anything that isn't part of your proposal or subscription, such as new pages, new features or a redesign, is extra work. We send you a separate quote first, based on our hourly rate plus any tool or software credits needed. We only start once you've approved it in writing.
8Prices and payment
All prices are in euros and exclude VAT, unless stated otherwise.
Subscriptions are invoiced monthly in advance. Projects are invoiced as set out in the proposal. If the proposal doesn't say, we invoice half at the start and half on delivery.
Invoices are due within 14 days of the invoice date. You can pay by bank transfer, or with the payment link on the invoice if there is one.
If an invoice isn't paid on time, we send a reminder. If it's still unpaid after that, we may pause our work and services, including hosting and campaigns, until it's paid. We always warn you in writing before we do. Fees keep running during a pause.
From the due date, late payments carry the statutory interest (for businesses: the statutory commercial interest), plus reasonable collection costs if we have to hand the invoice over for collection.
Think an invoice is wrong? Let us know within 14 days. The part you agree with is still due on the original date.
9Ad budgets, tools and other third-party costs
Ad budgets are separate from our fees. You pay the ad platforms, such as Google, Meta or TikTok, directly, unless we agree otherwise. You decide the budget and stay in control of it.
Some work uses paid tools, software credits (for example for AI) or plugins. Your proposal says which of these costs are included. Costs that aren't included, we only make after checking with you.
Hosting providers, domain registrars, payment providers, ad platforms and software suppliers have their own terms, and they can change their prices, rules or features. We're not responsible for those changes, but we'll help you find a good solution.
10Ownership
Your website and its content are yours once all invoices for it are paid. Until then, we keep the rights to the work we've made.
Your own material, such as texts, photos, logos and data, always stays yours.
Domain names we register for you are yours. If we stop working together, we transfer them to you once all invoices are paid.
We keep the rights to our own tools, code, templates and methods that we use across projects. You get a permanent right to use them as part of your website or automation.
Third-party parts, such as fonts, plugins, stock photos and software, fall under the licences of their makers.
We may show the work we did for you in our portfolio, unless we agree otherwise in writing.
11Websites and hosting
We host websites with reliable providers and aim for maximum uptime, but no website is online 100% of the time. Short interruptions for maintenance, or caused by our providers, can happen.
Backups are part of our subscriptions. Still, keep your own copy of anything that's important to you, like your texts and photos.
You're responsible for what's on your website: your texts, products and prices, and your own legal information, like your privacy policy and terms. We're happy to help, but we don't give legal advice.
If a website is hacked, attacked or used for something illegal, we may take it offline temporarily to limit the damage. We let you know straight away.
12Advertising and marketing
We run campaigns with care, but results depend on many things outside our control: the ad platforms, your competitors, your offer, your prices and your website. That's why we can't guarantee clicks, leads, sales or a specific return on ad spend.
New campaigns go live after your approval. You're responsible for your offer and for the claims in your ads being true and allowed. We point out what we notice, but you know your business best.
Ad platforms decide what they allow, and they can reject ads or limit accounts. We follow their rules and help when it happens, but we're not responsible for their decisions.
Ad and analytics accounts are set up in your name, or you give us access to yours, so your data and history stay yours.
13Automations, AI and personal data
When we host or maintain your website, build automations or run campaigns, we process personal data on your behalf, such as messages sent through your website or details of your customers. You decide what happens with that data, and we only use it on your instructions. We sign a data processing agreement with you for this, as the GDPR requires.
You make sure you're allowed to use that data, for example that you have permission to email your customers.
Automations and AI tools do what they're set up to do, but they depend on the tools they connect to. Check important output, like invoices and messages to your customers, especially at the start.
How we handle personal data ourselves is explained in our privacy policy.
14Confidentiality
We keep what you share with us about your business confidential, and we ask the same of you for our proposals and prices. This doesn't apply to information that's already public, or that the law requires us to share.
15Liability
We do our best to prevent mistakes. If something goes wrong because of our work, tell us as soon as possible and give us the chance to fix it. Fixing it is always the first step.
If we are liable, it's only for direct damage, up to the amount we invoiced for the work in question. For subscriptions and other ongoing work, that's at most the fees of the three months before the damage happened.
We're not liable for indirect damage, such as lost revenue or profit, missed savings, damage to your reputation or lost data. If data is lost from a website we host, we restore it from our latest backup at no cost.
We're also not liable for problems caused by third-party services we don't control, such as outages or changes at hosting providers, domain registrars, ad platforms, payment providers or software suppliers.
Report damage to us in writing within 30 days after you discover it. Claims expire one year after the damage happened.
These limits don't apply if the damage was caused by our intent or deliberate recklessness.
16When something outside our control happens
Sometimes things happen that nobody can control, like major outages at internet or cloud providers, cyberattacks, serious illness or government measures. If that stops us from doing our work, our obligations are paused while it lasts. If it lasts longer than 60 days, either of us can end the agreement for the part that's affected, without having to pay damages. Work already done is still paid for.
17Ending our agreement
You can stop a project at any time. We then invoice the work done up to that point, plus costs we've already made and can't cancel.
Subscriptions end as described under Subscriptions: after the minimum term, with one month's notice.
We may end or pause the agreement right away if invoices stay unpaid after a reminder, if you go bankrupt or are granted a suspension of payments, or if our work is used for something illegal.
When we stop working together, we hand over your website files, your content and your domain names once all invoices are paid. We're happy to help you move to another provider; that help is charged at our hourly rate.
After a subscription ends, we may remove the website and its backups from our hosting after 30 days. Make sure you have your copy by then.
18Changes to these terms
We may update these terms. Changes apply to running agreements only if we tell you at least one month in advance. If a change is to your disadvantage and you don't agree with it, you can end your subscription from the date it takes effect. The latest version is always on this page.
19Law and disputes
Dutch law applies to these terms and to every agreement with us.
If we disagree about something, let's first try to solve it together. If that doesn't work, the dispute goes to the competent court in the district where Forwarddd is established.
These terms are available in Dutch and English. If the two versions differ, the Dutch version applies.
